IMPORTANT: Please read these Terms of Use (“Terms”) carefully before accessing or using Triamel AI. These Terms form a binding agreement between you and Triamel AI LLC (“Triamel,” “we,” “our,” or “us”). By accessing, browsing, or otherwise using any portion of our website, mobile application, or conversational AI chatbot (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree to all of the Terms, you must immediately discontinue use of the Services.
1. Definitions
“Clinical Content” means study documentation provided by sponsors or sites, including informed consent forms (“ICF”), study FAQs, non-confidential protocol excerpts, investigator’s brochures, and related educational materials.
“User,” “you,” or “your” means any individual or entity that accesses or uses the Services.
“Participant” means a research subject enrolled or considering enrollment in a clinical trial who uses Triamel AI for non-clinical support.
“Sponsor” means an organization (e.g., pharmaceutical company, CRO, academic center) that provides Clinical Content for use within the Services.
“Content” means text, graphics, data, or other materials transmitted through the Services, whether generated by Triamel, a Sponsor, or a User.
2. Eligibility and Account Security
2.1 Age Requirement – You must be at least 18 years old and have legal capacity to enter into these Terms.
2.2 Account Creation – Certain features may require you to create an account or session identifier. You must provide true, accurate, and complete information and keep it up to date.
2.3 Credential Security – You are responsible for all activities conducted under your credentials. Notify us immediately of unauthorized use.
2.4 One Person, One Account – Except as expressly permitted (e.g., site coordinators accessing a read-only dashboard), you may not share, transfer, or sublicense your account to any other person or entity.
3. Nature of the Services (Informational Use Only)
3.1 Triamel AI is an informational chatbot that delivers study-related answers based on sponsor-approved materials and publicly available guidelines such as ICH-GCP. It does not:
Provide professional medical advice or diagnosis
Interpret laboratory or imaging results
Determine eligibility for clinical trials
Suggest courses of treatment or medication changes
Monitor real-time safety events or adverse reactions
3.2 No Doctor-Patient Relationship – Use of the Services does not create a doctor-patient, provider-patient, or any fiduciary relationship. Always consult your study physician or qualified healthcare provider for medical decisions.
3.3 Emergency Matters – The Services are not monitored for urgent or life-threatening concerns. In an emergency, dial 911 or contact your healthcare team directly.
4. Rights Granted to You
Subject to your compliance with these Terms, Triamel grants you a non-exclusive, non-transferable, revocable, limited license to:
Access and use the Services for their intended, non-commercial purpose
View and download any output generated for you by the chatbot strictly for personal reference within the clinical trial context
You may not copy, modify, reverse engineer, resell, or otherwise exploit any portion of the Services without prior written consent.
5. Acceptable Use Policy
You agree not to:
Upload, transmit, or share information that is unlawful, defamatory, harassing, abusive, or obscene.
Seek individualized medical advice or encourage others to forgo professional care.
Attempt to probe, scan, or test the vulnerability of any system or network.
Introduce malware, ransomware, or other destructive code.
Use automated scripts, spiders, or bots to scrape or harvest data.
Misrepresent your identity or affiliation with a sponsor or site.
Infringe or violate the intellectual property rights or privacy rights of any third party.
Collect or store PHI about other individuals without proper authorization under HIPAA.
Violation of this policy may result in immediate suspension or termination of your access.
6. Sponsor-Provided Content and Trial Materials
6.1 Sponsor Responsibility – Sponsors uploading Clinical Content remain solely responsible for its accuracy, completeness, and regulatory compliance. Triamel does not independently validate or endorse Sponsor materials.
6.2 Content Updates – Sponsors must promptly notify Triamel of amendments to protocols, ICFs, or other study documents. Failure to do so may lead to outdated or inconsistent chatbot responses.
6.3 Content License – Sponsors grant Triamel a worldwide, non-exclusive license to host, process, and display Clinical Content solely for purposes of operating the Services.
7. Privacy and Data Security
7.1 Triamel’s collection and use of personal information are governed by our Privacy Policy (linked on our website). By using the Services, you consent to the data practices described therein.
7.2 We maintain administrative, technical, and physical safeguards designed to protect PHI and other personal data in compliance with HIPAA, the California Consumer Privacy Act (CCPA), and FDA 21 CFR Part 11.
7.3 You acknowledge that Internet transmissions are never completely private or secure. You are responsible for any data you choose to transmit through the Services.
8. Intellectual Property
8.1 All trademarks, service marks, logos, software code, databases, chat dialogue formats, and other intellectual property appearing on the Services are owned by Triamel or its licensors and are protected by U.S. and international laws.
8.2 Except for the limited license granted in Section 4, nothing in these Terms transfers to you any ownership interest in Triamel’s intellectual property.
8.3 Any unauthorized use may violate copyright, trademark, and other laws and is grounds for termination of your access.
9. Feedback and Suggestions
If you submit comments, bug reports, or improvement suggestions (“Feedback”), you grant Triamel a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, and incorporate such Feedback without any obligation to you.
10. Modifications to the Services or Terms
10.1 Triamel may enhance, modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, to maintain security, comply with law, or improve functionality.
10.2 We may update these Terms from time to time. Material changes will be posted on our website. Continued use after a change signifies your acceptance of the revised Terms.
11. Third-Party Services and Links
11.1 The Services may contain links to third-party websites or resources. Triamel does not control and is not responsible for such external resources.
11.2 Your dealings with any third party are solely between you and that third party, and you assume all risks associated with such dealings.
12. Disclaimers of Warranties
12.1 THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
12.2 TRIAMEL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
13. Limitation of Liability
13.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIAMEL, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
14. Indemnification
You agree to defend, indemnify, and hold harmless Triamel and its directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt—including reasonable attorney’s fees—arising from:
Your use or misuse of the Services
Your violation of any portion of these Terms
Your violation of any third-party right, including intellectual property or privacy rights
Any content you submit, upload, or transmit through the Services
15. Termination and Suspension
15.1 Triamel may suspend or terminate your access at any time for violations of these Terms, suspected fraudulent activity, or to protect the integrity of a clinical trial.
15.2 Upon termination, your right to use the Services ceases immediately. Sections 3, 7–9, 12–14, 16–18 survive any termination.
16. Governing Law; Dispute Resolution
16.1 These Terms and any action related thereto are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles.
16.2 Informal Resolution – You agree to first attempt to resolve any dispute with Triamel by emailing legal@triamel.com and allowing us thirty (30) days to respond.
17. Severability; No Waiver; Assignment
17.1 If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
17.2 Triamel’s failure to enforce any right or provision does not constitute a waiver of future enforcement.
17.3 You may not assign or transfer your rights under these Terms without Triamel’s prior written consent. Triamel may assign its rights and obligations in connection with a merger, acquisition, or sale of assets.
18. Entire Agreement & Headings
These Terms, together with our Privacy Policy and any supplemental policies posted within the Services, constitute the entire agreement between you and Triamel. Headings are for convenience and do not affect interpretation.
